Challenges in the Acquisition

The firm is serial acquirer and their deal purchase decisions are dependent on many factors depending on their acquisition strategy which varied deal to deal. The firm uses a pre-defined template in an XL sheet with complex formulae to help in their decision-making on prospective buy, integration and restructuring decisions.

For the due diligence process there was need to get information on all document submitted by the seller and getting notification to buyer through automated mail.

Proposed solution

MergerWare proposed a quick solution and an additional feature to accommodate the complex need of customer. MergerWare customized a new feature provision which helped that any deal can initiated in the gates of either Buy, Integrate and Restructure. M&A process playbook for any of the first three gates, can be imported or initialized from Tier 1, Tier 2, Tier 3, Tier 4 templates which defines customer domestic and international deals. Before importing the playbook, users need to enter critical information’s of deals like type of deal, domestic or international deal etc that automated the whole XL sheet calculation from several pages of calculation to few lines of actions that saved lots of time for customer and minimise the risk of human error while entries deal info.

Business Benefits

  • User downloads the playbook template from the platform directly thus saving lots of their time.
  • Before importing the playbook, the user was asked to provide information regarding tier, nature of Deal and Closing date of deal that helped them to automate most of decisions through MergerWare and does not required other intervention at all.
  • M&A life cycle end -dates were calculated based on the formulae integrated within MergerWare which was one of critical decision points for the deal.
  • Daily VDR (Virtual data room) update that provides a snapshot of the files that were uploaded to the VDR by the target. Trigger mail to all project team regarding internal VDR actions in form of file name, date and time, file path etc as as well as a customized txt option of sending mail body was helpful to put content as needed.
